By accessing or using the services provided by The Sphere Initiative (“Sphere”, “we”, “our”, or “us”), you (“User”, “you”, or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, please do not use our services.

2. Services Provided

The Sphere Initiative provides governance intelligence, AI and content-risk analysis, evidence record services, and related advisory and briefing services to publishers, charities, enterprises, and standards bodies. Specific features and access tiers are described on the relevant product pages.

3. Eligibility

  • You must be at least 18 years old to use our services.
  • You must have authority to bind any organisation on whose behalf you are acting.
  • Your use must comply with all applicable laws and regulations.

4. User Responsibilities

You agree to:

  • Provide accurate and current information when submitting forms or requests.
  • Use our services solely for lawful purposes and in accordance with these Terms.
  • Refrain from uploading or submitting content that infringes the intellectual property rights of others.
  • Not misuse, reverse-engineer, or attempt to gain unauthorised access to our systems.

5. Intellectual Property Rights

Your Content

You retain ownership of any content you submit. By submitting content, you grant The Sphere Initiative a limited, non-exclusive, royalty-free licence to use and process that content solely to provide the requested services.

Platform Content

All materials, software, text, graphics, and designs created by The Sphere Initiative are our property or that of our licensors. You may not copy, modify, distribute, or reverse-engineer any part of the platform without prior written consent.

6. Fees and Payments

Certain services or reports may require payment. All fees are stated at the point of purchase. Where payments are processed, we use Stripe as our payment processor. Refund terms, if any, are specified at the point of sale.

7. Limitation of Liability

To the fullest extent permitted by law, The Sphere Initiative shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of, or inability to use, our services. Our total liability shall not exceed the amount paid by you, if any, for the specific service giving rise to the claim in the twelve months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless The Sphere Initiative, its officers, and employees from any claims, losses, or expenses (including reasonable legal fees) arising out of your use of our services or your violation of these Terms.

9. Termination

We reserve the right to suspend or terminate your access to our services at our discretion, without notice, where we reasonably believe you have violated these Terms or where required by law.

10. Changes to Terms

We may update these Terms from time to time. We will post the revised Terms on this page with an updated date. Your continued use of the services after changes are posted constitutes acceptance of the revised Terms.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to any mandatory consumer protection rights you may have under the laws of your country of residence.
